Steven M. Ellis is a partner and co-head of The Private Credit Group at Proskauer Rose, LLP, an international law firm headquartered in New York. He is also a member of the firm’s Executive Committee.
Steve concentrates his practice in middle-market and upper-market financing transactions and restructuring matters. With one of the largest client rosters in the industry, he represents an array of secured lenders, second lien lenders, debt funds and private equity funds in all types of transactions from recapitalizations to acquisitions with sizes ranging from $5.0 million to $3.0 billion. He specializes in private credit financing transactions, including innovative, first-in-kind structures. He has represented lenders investing in private companies throughout the country and Europe. In addition, Steve has substantial experience in creditor rights and insolvency. He regularly represents alternative investors in distressed acquisitions and private credit investors in restructurings and investing for control.
Steve is a frequent panelist at alternative lending, second lien finance, secured lending and restructuring conferences and seminars.

Steve earned his BA from Tufts University and JD from Boston University School of Law.
